1. The agreement
This is an agreement between you (or the company you represent) and Minutrix. If a separate signed proposal, order form or statement of work exists between us, that document governs where it conflicts with these terms.
2. What the service is
Minutrix builds and operates an execution layer for your business: websites and software, automations and workflows, AI agents, dashboards, and the integrations between them. Parts are generated by AI and parts are built and maintained by our engineers. The scope of what we deliver for you is whatever is set out in your plan or proposal.
We improve the platform continuously, so specific features may change. We will not remove something you rely on under an active engagement without telling you.
3. Accounts
You are responsible for the accuracy of your account details, for keeping your credentials secure, and for everything done under your account. Tell us promptly if you suspect unauthorised access. You must be old enough to enter a contract in your jurisdiction, and if you are signing up for a company you confirm you are authorised to bind it.
4. Acceptable use
You agree not to use the platform to:
- break the law, or infringe anyone’s rights, including intellectual property and privacy rights;
- send spam, or make calls or messages you do not have the consent or legal basis to send;
- impersonate a person or organisation, or present AI output as human where the law requires disclosure;
- upload malware, attack or probe our systems, or attempt to bypass usage limits and tenant isolation;
- generate content that harasses, defrauds or endangers people;
- resell or expose the platform as your own competing product without a written agreement.
You are responsible for complying with the rules that apply to your own industry and to call recording and marketing consent where you operate.
5. Your data and what we build
You keep ownership of the data you bring and the business content the platform produces for you. You grant us the licence we need to host, process and display it in order to run the service, including sending it to the AI providers described in our privacy policy.
We keep ownership of the platform itself: our software, models of working, templates and infrastructure. Nothing here transfers that to you. Where an engagement includes bespoke code written for you, ownership of that code is whatever your proposal says.
6. AI output
AI-generated output can be inaccurate, incomplete or unsuitable, and two identical requests can produce different results. You are responsible for reviewing anything before you publish it, send it to a customer, or make a decision on it. Do not use the platform as the sole basis for legal, medical, financial or safety-critical decisions.
7. Plans, credits and payment
Fees, scope and billing schedule are set out in your plan or proposal. Usage of AI text and voice is metered as credits, with limits that can be set globally or per company; once a limit is reached, further usage is blocked until it is raised or the period resets.
Invoices are due on the terms stated on them. We may suspend the service for accounts that remain unpaid after we have told you. Unless your proposal says otherwise, fees already paid are not refundable, and taxes are your responsibility.
8. Third-party services
The platform connects to services you choose: payment processors, calendars, CRMs, telephony, email and AI providers. Your use of those services is governed by their own terms, and we are not responsible for their availability, pricing or decisions. If one of them changes or withdraws an API, we will work with you on the alternative.
9. Availability and support
We aim to keep the platform available and to respond to issues quickly, and we will give notice of planned maintenance where we reasonably can. Unless your agreement includes a specific service level, the platform is provided without a guaranteed uptime commitment.
10. Confidentiality
Each of us may learn confidential information about the other. We will each use it only to perform this agreement, protect it with reasonable care, and not disclose it except to people who need it and are under similar obligations, or where the law compels disclosure.
11. Termination
You may stop using the service and close your account at any time; notice periods in a signed proposal still apply. We may suspend or terminate access if you materially breach these terms, if your account is used unlawfully, or if fees stay unpaid after notice.
On termination we will, on request and within a reasonable window, give you an export of your data before deleting it in line with our privacy policy.
12. Warranties and liability
The service is provided “as is” to the extent the law allows, without implied warranties of merchantability, fitness for a particular purpose or non-infringement. Neither of us is liable for indirect or consequential loss, or for lost profits, revenue or data. Our total liability arising out of this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
Nothing here excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by negligence.
13. Changes to these terms
We may update these terms as the product and the law change. We will update the date at the top and, for material changes, notify account holders by email. Continuing to use the service after that means you accept the updated terms.
14. Governing law
These terms are governed by the laws of India, and the courts there have exclusive jurisdiction, except that either of us may seek injunctive relief wherever necessary to protect our intellectual property or confidential information.
